Terms of Service

Effective October 24, 2026

These terms are an agreement between you and Nudge Act ("we", "us"), the company behind NudgeAct (the "Service"). By creating an account or using the Service you agree to them. If you use the Service for a business, you agree on behalf of that business.

The Service

NudgeAct researches your business, recommends marketing opportunities, drafts and designs content, and, when you allow it, publishes approved content to accounts you connect. Features may change as we improve the product.

Your account

• You must be at least 18 and give accurate information.
• Keep your login secure; you are responsible for activity on your account.
• You may invite others to your workspace and are responsible for their use.

Your content and approvals

• You keep ownership of your business information, uploads and the content created for you. You give us permission to use them only to provide the Service.
• You confirm you have the rights to anything you upload, such as logos and photos.
• AI-generated content can contain mistakes. You are responsible for reviewing content before you approve it. Content is published only according to the permissions you set, and public or paid actions always require your approval.
• You are responsible for following the rules of the platforms you connect (for example Meta's terms) and laws that apply to your marketing, such as advertising and consumer-protection rules.

Acceptable use

Do not use the Service to create or publish content that is unlawful, deceptive, infringing, hateful, harassing or sexually explicit; to impersonate others; to send spam; or to interfere with or reverse-engineer the Service.

Plans, trials and payment

• New accounts start with a 7-day free trial. Paid plans are billed monthly in advance through Stripe and renew automatically until cancelled.
• You can cancel at any time; your plan stays active until the end of the paid period. Fees already paid are non-refundable except where required by law.
• Plans include usage limits (for example the number of brands, videos and AI designs). We may change prices with at least 30 days' notice.

Third-party services

The Service connects to services run by others (such as Meta, Google, Stripe and AI providers). Their terms apply to your use of them, and we are not responsible for their availability or actions.

Ending your use

You can stop using the Service and delete your account at any time. We may suspend or end accounts that break these terms or put the Service or others at risk. After an account ends, we delete its data as described in our Privacy Policy.

Disclaimers and liability

The Service is provided "as is". We do not guarantee specific marketing results. To the fullest extent allowed by law, we are not liable for indirect or consequential losses, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Pinellas County, Florida.

Changes

We may update these terms. If we make significant changes we will notify account owners by email before they take effect. Continuing to use the Service means you accept the updated terms.
